Introduction
By accessing the Earlybird AI Private Beta ("Beta"), User agrees to the following confidentiality terms ("Terms"):
During the private beta program, User will be given access to test our exclusive new product features ahead of public launch, that may include the company’s proprietary information.
The Confidentiality Terms are designed to protect the proprietary and confidential nature of Earlybird AI’s technology, features, and business operations during the Beta phase.
Definition of Confidential Information
Confidential Information includes, but is not limited to:
Any non-public features, functionalities, designs, or capabilities of Earlybird AI. This includes sharing of detailed workings of product, visuals, demo videos, etc.
Business models, pricing, financial information, and strategic plans.
Any data, reports, feedback, or other information related to Beta usage.
Trade secrets, technical information, algorithms, and source code.
Obligations of the User
The User agrees to:
Maintain the confidentiality of all Confidential Information and not disclose it to any third party.
Use the Confidential Information solely for the purpose of evaluating Earlybird AI during the Beta period.
Take reasonable security measures to protect Confidential Information from unauthorized access.
Notify Earlybird AI promptly in case of any unauthorized disclosure or breach.
Exceptions
Confidentiality obligations do not apply to information that:
Becomes publicly available through no fault of the User.
Was lawfully known to the User prior to disclosure by Earlybird AI.
Is disclosed with written permission from Earlybird AI.
Is required to be disclosed by law, provided the User notifies Earlybird AI in advance (if legally permissible).
Feedback and Improvements
The User agrees to provide feedback, suggestions, or recommendations regarding the Beta. Earlybird AI reserves the right to use such feedback to improve its product without any obligation to the User.
Term and Termination
These Terms remain in effect for the duration of 2 years post the signing date of the agreement. Upon termination, the User must cease using and delete any confidential Information.
Remedies
Any breach of these Terms may cause irreparable harm to Earlybird AI, entitling it to seek injunctive relief, damages, or other legal remedies.
Governing Law and Jurisdiction
This Agreement shall be subject to and governed by the laws of Singapore. The Parties submit to the exclusive jurisdiction of the courts of Singapore.
Providers may share this agreement and its terms with prospective investors or in the context of a potential corporate merger or acquisition.
Non-transferability
Founding member benefits are non-transferable and exclusive to the original recipient.
